Documents Required for Company Incorporation in India

Director and Shareholder: Indian National

The following documents are mandatory for company incorporation in India:

    PAN Card: PAN Card copy of the proposed director and shareholder of the Company will be required for Company Registration. PAN or Permanent Account Number is a unique identification number issued by the Department of Income Tax in India. It is mandatory for directors and shareholder who are Indian Nationals to submit PAN during the incorporation process.

    Identity Proof: In addition to the PAN Card copy, the proposed director and shareholder must submit an identity proof. The identity proof submitted must have the name of the director and shareholder as mentioned in the PAN Card and the present address of the director and shareholder.

      The following documents are acceptable as an identity proof for Indian Nationals.

      • Passport
      • Driving License
      • Aadhar Card
      • Voter Identity Card

     
    Residential Proof: In addition to an identity proof, a residential proof must be submitted during the incorporation of the Company to validate the residential address of the director and shareholder. As applicable for address proof, the residential proof must also contain the name of the director and shareholder as mentioned on the PAN Card and must not be older than two months.

      The following documents are acceptable as a residential proof:

      • Bank Statement
      • Electricity Bill
      • Telephone Bill
      • Mobile Bill

     
    DIN of Director: In addition to the address proof, DIN of the Director is also required if proposed director is already associated with any other Company or having DIN already.

    Passport size Photograph: Passport size Photograph of Director and Shareholder is also required.

    Email ID and Phone Number: Email ID and Phone number of the Director and Shareholder is also required.

Director and Shareholder: Foreign National

The following documents are mandatory for Foreign Nationals for the purpose of incorporation of company in India:

Passport: In case of Foreign Nationals, Passport is a mandatorily required as a proof of identity. The Passport must also be duly Notarized or Apostilled in the country in which it was issued.

Address Proof: Address Proof for the foreign notional must be duly notarized or apostilled and not older than two months and following documents are acceptable as an address proof for the foreign national:

  • Bank Statement
  • Electricity Bill
  • Telephone Bill
  • Mobile Bill

 
Note: In case the document is in a foreign language, then it must be translated by an official translator and notarized or Apostilled.

Visa: If foreign national is coming India for the incorporation purpose than visa copy of the person is mandatory with the arrival stamp in India.
 
Subscriber- Foreign Company

If any subscriber to the proposed company is Foreign company and/or company incorporated outside India, then it is mandatory to attach:

  • Copy of certificate of incorporation of the foreign body corporate.
  • Resolution passed by the foreign body corporate.

 
Subscriber- Company

If any subscriber to the proposed company is a Company itself, then it is mandatory to attach:

  • Resolution passed by promoter Company.

 
Registered Office Proof: The following documents must be submitted as a proof of registered office during the company incorporation in india:

  • The registered document of the title of the premises of the registered office in the name of the company.
  • The notarized copy of lease / rent agreement in the name of the Company along with No Objection Certificate from the owner of the premise.

 
In addition to the above, the following must also be provided as proof of registered office:

  • The authorization from the Landlord (Name mentioned in the Electricity Bill or Gas Bill or Water Bill or Property Tax Receipt or Sale Deed) to use the premises by the Company as its registered office.
  • Proof of any utility service like telephone, gas, electricity and water etc. depicting the address of the premises in the name of the owner or document, which is not older than two months.
